Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Remind, a macOS desktop application ("the App") provided by Outergy Group, LLC ("we", "us", "our"). By downloading, installing, or using Remind, you agree to these Terms. If you do not agree, do not use the App.

2. Description of Service

Remind is a macOS menu bar application that provides full-screen meeting reminders and optional AI-powered meeting preparation. The App connects to your calendar provider (Google or Microsoft) via Nylas, and optionally integrates with Slack, Notion, and third-party AI providers to generate meeting briefings and deliver reminders.

3. Beta

Remind is currently provided during its beta period on an "as is" and "as available" basis. Features may be changed, added, or removed as the App develops. We will update these Terms to reflect material changes, and any terms governing new or changed features will be presented to you before they apply.

4. Your API Keys

Remind's AI features use your own API keys from providers such as Anthropic (Claude), OpenAI, or Google (Gemini). You are responsible for:

We do not provide, manage, or subsidize AI API access. Your API keys are stored locally in your Mac's Keychain and are never transmitted to our servers.

5. Your Data

Your calendar data, email content, Slack messages, and Notion pages are processed locally on your Mac and sent directly to your chosen AI provider. We do not store, access, or process this data on our servers. For full details on what data we access and how, see our Privacy Policy.

6. Third-Party Services

Remind integrates with third-party services including Google, Microsoft, Nylas, Slack, Notion, Resend, and various AI providers. Your use of these services through Remind is subject to each provider's own terms of service and privacy policy. We are not responsible for the availability, accuracy, or conduct of third-party services.

Remind, including its code, design, branding, and documentation, is owned by Outergy Group, LLC. You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms. This license does not grant you ownership of the App or any of its components.

9. Disclaimer of Warranties

Remind is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. AI-generated meeting briefings are informational only and may contain inaccuracies. You should not rely solely on AI-generated content for business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Outergy Group, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. This includes, without limitation, damages for lost profits, lost data, missed meetings, or business interruption. Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the App in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Outergy Group, LLC from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the App or violation of these Terms.

We may update the App from time to time via Sparkle auto-updates. Updates may add, modify, or remove features. Continued use of the App after an update constitutes acceptance of any changes.

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Material changes will be communicated through the App or via email where possible.

13. Termination

You may stop using Remind at any time by uninstalling the App. We may suspend or terminate your access to the App if you violate these Terms. Upon termination, the license granted to you under these Terms ends immediately.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

16. SMS Terms

By adding your phone number and enabling text reminders in Remind, you agree to receive SMS meeting reminders at that number. Consent to receive text messages is not a condition of any purchase. Message frequency varies with your meeting schedule and reminder settings. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time; you can also disable text reminders in the app settings. After you reply STOP, you will receive one final confirmation message and no further texts.
