Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Remind, a macOS desktop application ("the App") provided by Outergy, LLC ("we", "us", "our"). By downloading, installing, or using Remind, you agree to these Terms. If you do not agree, do not use the App.

2. Description of Service

Remind is a macOS menu bar application that provides full-screen meeting reminders and optional AI-powered meeting preparation. The App connects to your calendar provider (Google or Microsoft) via Nylas, and optionally integrates with Slack, Notion, third-party AI providers, and SMS/voice call notifications (via Twilio) to generate meeting briefings and deliver reminders.

3. Free and Pro Tiers

Remind offers two tiers:

We reserve the right to change which features are included in each tier. We will provide reasonable notice of material changes.

4. License Keys and Subscriptions

Pro features require a license key obtained through our authorized payment provider. License keys are personal and non-transferable. You may use one license key on one Mac at a time. Sharing, reselling, or distributing license keys is prohibited.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your payment provider account. Refunds are handled according to the payment provider's refund policy.

5. Your API Keys

Remind's AI features use your own API keys from providers such as Anthropic (Claude), OpenAI, or Google (Gemini). You are responsible for:

We do not provide, manage, or subsidize AI API access. Your API keys are stored locally in your Mac's Keychain and are never transmitted to our servers.

6. Your Data

Your calendar data, email content, Slack messages, and Notion pages are processed locally on your Mac and sent directly to your chosen AI provider. We do not store, access, or process this data on our servers. For full details on what data we access and how, see our Privacy Policy.

7. Third-Party Services

Remind integrates with third-party services including Google, Microsoft, Nylas, Slack, Notion, Twilio, Resend, and various AI providers. Your use of these services through Remind is subject to each provider's own terms of service and privacy policy. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Intellectual Property

Remind, including its code, design, branding, and documentation, is owned by Outergy, LLC. You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms. This license does not grant you ownership of the App or any of its components.

10. Disclaimer of Warranties

Remind is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. AI-generated meeting briefings are informational only and may contain inaccuracies. You should not rely solely on AI-generated content for business decisions.

11. Limitation of Liability

To the maximum extent permitted by law, Outergy, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. This includes, without limitation, damages for lost profits, lost data, missed meetings, or business interruption. Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the App in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Outergy, LLC from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the App or violation of these Terms.

13. Updates and Changes

We may update the App from time to time via Sparkle auto-updates. Updates may add, modify, or remove features. Continued use of the App after an update constitutes acceptance of any changes.

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Material changes will be communicated through the App or via email where possible.

14. Termination

You may stop using Remind at any time by uninstalling the App. We may terminate or suspend your access to Pro features if you violate these Terms or if your license key is revoked. Upon termination, your license to use Pro features ends immediately.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
